This Mutual Non-Disclosure Agreement ("Agreement") is entered into as of [DATE] (the "Effective Date") by and between:

The Jeffrey Company, a company organized under the laws of France, with its registered office at 102 Avenue des Champs-Elysees, 75008 Paris, France ("Company"), and

[Counterparty Legal Name], with its registered office at [Address] ("Counterparty").

Company and Counterparty are each a "Party" and together the "Parties".

1. Purpose

The Parties may exchange certain confidential information in connection with discussions regarding a potential commercial relationship, including product demonstrations, technical evaluations, security reviews, and related business discussions (the "Purpose").

2. Confidential Information

"Confidential Information" means any non-public information disclosed by one Party to the other, whether in written, oral, electronic, or other form, that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Confidential Information may include, without limitation:

  • • product demonstrations and features
  • • technical documentation or architecture
  • • security practices or policies
  • • business plans, pricing, or commercial terms

3. Obligations

The Receiving Party agrees to:

  • • use the Confidential Information solely for the Purpose
  • • not disclose it to any third party without prior written consent
  • • limit access to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations
  • • protect the Confidential Information using reasonable care

4. Exclusions

Confidential Information does not include information that:

  • a) is publicly available without breach of this Agreement
  • b) was known prior to disclosure
  • c) is independently developed without use of the Confidential Information
  • d) is lawfully received from a third party without restriction

5. No License

Nothing in this Agreement grants any intellectual property rights or licenses.

6. Return or Destruction

Upon written request, the Receiving Party shall return or destroy the Confidential Information, except for archival copies retained for compliance purposes.

7. Term

This Agreement shall remain in effect for two (2) years from the Effective Date. Confidentiality obligations shall survive for three (3) years from the date of disclosure.

8. No Obligation

Nothing in this Agreement obligates either Party to enter into any further agreement or business relationship.

9. Governing Law

This Agreement shall be governed by the laws of France.
